Pacific Petroleum Operating, LLC, an investment vehicle under Pacific Bays Capital, has completed the acquisition of producing oil and gas assets in Wyoming for $9.65 million USD. The deal, finalized on June 11, 2025, was executed in partnership with VCP Operating, LLC, and marks a strategic expansion into mature U.S. energy assets.
The assets—acquired from a portfolio company of a major private equity group—include producing fields such as Hunt, Rose Creek, Shoshone North, and West Oregon Basin. These fields offer stable production, low decline rates, and near-term optimization upside, aligning with Pacific’s focus on income-generating, risk-mitigated investments.
The acquisition was completed through Pacific Petroleum Holdings, LP, a Delaware-based entity backed by Japanese institutional investors. To optimize cross-border tax efficiency, Pacific utilized a U.S. blocker structure. Field operations will be led by VCP Wyoming, LLC, a unit of VCP Michigan, which brings extensive experience operating across North America.
Looking ahead, Pacific and advisory partner O-DE Capital Partners plan to explore Web3-driven enhancements such as real-world asset (RWA) tokenization. These technologies aim to improve investor liquidity, transparency, and access to traditionally opaque energy assets.
Jason Nye, Managing Director of Pacific Petroleum Management, emphasized the deal’s alignment with Pacific’s U.S. energy strategy.
Toby Darden, Founder of VCP, highlighted the operational upside driven by decades of field expertise.
Koji Muto, General Partner of Pacific Bays Capital and Director at O-DE Capital, underscored the long-term vision of integrating stable, income-producing oil assets with next-gen fintech tools.
The deal comes as WTI prices remain robust and geopolitical tensions elevate energy security concerns. With over 100,000 global firms expressing interest in similar infrastructure plays, Pacific’s platform is well-positioned to deliver yield and scalability through both physical and digital channels.
